In the event of any conflict between these general Terms of Service and your specific Merchant Agreement, the terms of the Merchant Agreement shall prevail.

3. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CorePro360, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are permitted to use the Services for your legitimate business purposes as authorized by us. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

4. Prohibited Activities

You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To process payments for illegal goods or services.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate CorePro360, a CorePro360 employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm CorePro360 or users of the Services or expose them to liability.

5. SMS and Communication Services

If you opt-in to receive SMS or email communications from us, you agree to receive messages related to your account, our services, and promotional offers. You can opt-out of these communications at any time as detailed in our Privacy Policy.

We do not sell, share, or disclose mobile phone numbers, SMS opt-in data, or consent records for marketing or promotional purposes. Standard message and data rates may apply.

6. Disclaimer of Warranties

7. Limitation of Liability

IN NO EVENT WILL COREPRO360, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State where CorePro360 is headquartered, without giving effect to any choice or conflict of law provision or rule.

9. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
